These Terms of Service (“Terms”) govern your access to and use of the Yaatra platform, websites, and related services (the “Services”) operated by Yaatra Inc., a Delaware corporation (“Yaatra,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
About Yaatra
Yaatra provides infrastructure for the cryptographic verification of employment, qualification, and similar credentials. The Services allow a verifying party (“Verifier”), a credential subject (“Applicant”), and an issuing organisation (“Issuer”) to create, sign, share, and verify credentials. Yaatra is a technology provider. We do not certify, endorse, or guarantee the underlying claims contained within any credential. We provide tools that prove the source of a credential and the integrity of its data.
Eligibility and Accounts
The Services are intended for use by businesses and professional users. By using the Services you represent that you are at least 18 years old and have the legal authority to bind any organisation on whose behalf you are using the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
Acceptable Use
You agree not to:
- Use the Services for any unlawful, fraudulent, or harmful purpose.
- Submit credentials or information you know to be false, misleading, or fabricated.
- Attempt to bypass, disable, or interfere with the security, integrity, or cryptographic processes of the Services.
- Reverse engineer, decompile, or otherwise attempt to derive the source code of the Services, except to the extent permitted by law.
- Use the Services to process data in violation of applicable privacy or data protection laws.
- Resell, sublicense, or commercially redistribute the Services without our written consent.
Roles and Responsibilities
4.1 Verifiers
Verifiers initiate verification cases and receive signed credentials. You are responsible for confirming that you have a lawful basis to request verification, for handling received credentials in accordance with applicable law, and for any decision you make based on a credential.
4.2 Issuers
Issuers sign credentials through the Services. By signing, you confirm that the information you provide is true and accurate to the best of your knowledge and that you are authorised to issue the credential on behalf of your organisation.
4.3 Applicants
Applicants consent to the sharing of their credentials with Verifiers. You may approve or decline the sharing of any credential. You retain control over which credentials are shared and with whom.
The Limits of What We Prove
This is important. The Services provide cryptographic evidence of (a) the identity of the Issuer that signed a credential, and (b) the integrity of the data within the credential since the time of signing. The Services do not, and are not represented to, verify the legal authority of any Issuer to make any underlying claim, the accuracy of the information an Issuer provides, or the qualification, status, or eligibility of any Applicant for any purpose. Verifiers must apply their own professional judgement when relying on any credential.
Pilot and Beta Features
Some Services may be offered as pilots, trials, or beta features and are provided “as is.” Pilot terms may be set out in a separate written agreement. Beta features may be modified, suspended, or withdrawn at any time.
Fees
Where fees apply, they will be set out in an order form, pilot agreement, or commercial schedule agreed between you and Yaatra. Unless otherwise stated, fees are non-refundable. We may change our pricing on prospective notice.
Intellectual Property
Yaatra and our licensors retain all right, title, and interest in and to the Services, including all software, documentation, designs, and trademarks. You retain ownership of the content and data you submit. You grant Yaatra a limited licence to host, process, and transmit your content solely to provide the Services.
Confidentiality
Each party agrees to protect the other party's confidential information using at least the same degree of care it uses to protect its own confidential information, and in no event less than a reasonable standard of care. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party.
Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, YAATRA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YAATRA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES. OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO YAATRA IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US$100).
Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the greatest extent permitted by law.
Indemnification
You agree to defend, indemnify, and hold harmless Yaatra and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of another party.
Termination
Either party may terminate these Terms at any time on written notice. We may suspend or terminate your access to the Services immediately if we reasonably believe you have breached these Terms or used the Services in a manner that may cause harm to Yaatra, our users, or third parties. Sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive termination.
Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by reasonable means, such as posting an updated effective date on this page or sending a notice to the email address on your account. Your continued use of the Services after the effective date of any updated Terms constitutes your acceptance of those Terms.
Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles. Any dispute arising out of or in connection with these Terms or the Services will be brought exclusively in the state or federal courts located in Delaware, and the parties consent to the personal jurisdiction of those courts. Nothing in this section prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
International Users
The Services are operated from the United States. If you access the Services from outside the United States, you are responsible for compliance with local laws. Where you are located in the European Economic Area, the United Kingdom, or another jurisdiction with applicable data protection laws, our Privacy Policy describes how your personal data is handled.
